BYLAWS
OF THE
ST.  CROIX WOMEN'S DIVE ASSOCIATION

ARTICLE ONE

INTRODUCTION

 

These By Laws Constitute The Rules Adopted By The ST.  CROIX WOMEN'S DIVE ASSOCIATION for the regulation and management of its affairs.

 

ARTICLE TWO

SERVICE AREA

For the purpose of these Bylaws in St. Croix US Virgin Islands will be the geographical area that this Association serves.

 

ARTICLE THREE

 MEMBERSHIP

Any individual 18 years of older who resides in the territory is eligible for membership subject to member sponsorship for the ST.  CROIX WOMEN'S DIVE ASSOCIATION.

 

Enrollment of Members-The board of directors shall adopt a membership application form to be filled out by all persons wishing to become a member.

 

Annual Membership Meeting-Such meetings shall occur at least twice per year at a time prescribed by the Board of Director by  a written notice to all members.  Such notice shall be given 7 days prior to meeting before such meeting takes place

 

ARTICLE FOUR

DIRECTORS

 

Board of Directors are persons vested with the management, and affairs of the ST.  CROIX WOMEN'S DIVE ASSOCIATION.  There shall be three elected or appointed Directors working within the bylaws guidelines.  Directors shall serve for a term of one year and be elected by members or appointed  upon the receipt of letter of resignation.

 

President- The President will perform all duties incident to such office and such other duties as may be provided in these bylaws or as may be prescribed from time to time by the Board of Directors.  The President shall preside at all board meetings and shall exercise parliamentary control in accordance with Robert's Rules of Order.

 

Vice President-The Vice President will perform all duties incident to such office and such other duties as may be provided in these bylaws or as may be prescribed from time to time by the Board of Directors.

 

Secretary-The Secretary will keep minutes of all meetings of the Board of Directors, will be the custodian of records, will give written notice as required by the bylaws and perform all duties incident to such office and such other duties as may be provided in these bylaws or as may be prescribed from time to time by the Board of Directors.

Treasurer-The treasurer shall have charge and custody of all funds, will supervise the financial business of the ST.  CROIX WOMEN'S DIVE ASSOCIATION and will render reports and accounting to the Directors as required by the Board of Directors.

 

Removal of Officers-Any officer may be removed by the Board of Directors whenever, in the judgment, the best interest of Association will be served by doing so.  Such removal. However, shall be without prejudice to contract rights (if any) of the officer so removed.

 

ARTICLE FIVE

COMMITTEES

The Board of Directors may from time to time designate and appoint one or more standing committee as it sees fit.  Such committee shall have and exercise such prescribed authority as is designated by the Board of Directors.

 

ARTICLE SIX

CODE OF ETHICS

Board Members shall put forth their best effort to attend all meetings and constructively participate to the same.

 

Board Members shall be reasonable for insuring that adequate and correct information is presented to their constituents.

 

Board members and MEMBERS shall neither by commission or omission foster false or misleading rumors within the community about the ST.  CROIX WOMEN'S DIVE ASSOCIATION or its' members.

 

Board Members and MEMBERS shall not disclose proprietary information belonging to the ST.  CROIX WOMEN'S DIVE ASSOCIATION.

 

Board Members and MEMBERS shall exercise good judgment in the control and use of confidential information that may from time to time come into their presence.
